Who will file with CIPC?
ℹThe filer must be a natural person with their own CIPC customer code — it can be a director, or your accountant acting on a mandate. The filer needs a South African mobile number to receive the one-time PIN.

Are you an affected or a non-affected company?
This is the answer everything else hangs on. Work through the checklist — each question has a plain-English explanation of what it actually means.
Part A — the affected company tests
Answer yes to any one of these and you are an affected company.
Part B — is there beneficial ownership to declare?
ℹRead these as "is anyone hiding behind the register?" They ask about people other than the shareholders, CC members, interest holders and directors already registered with CIPC. If you hold your own shares or your own member’s interest in your own name, that is not a hidden layer — and the answer to all of these is no. CIPC treats a company with a sole shareholder who is also the sole director, or a close corporation with a single member, as having no beneficial ownership to declare.
These only matter if you answered no to everything in Part A. Answer yes to any one and you have beneficial ownership to declare.
Part C — how complicated is your ownership?

Shareholders, members and beneficial owners
Add everyone who holds shares or a member’s interest, plus anyone who controls the entity without holding either. These details populate your register.
ℹCIPC's online form takes a maximum of 10 beneficial owners. Beyond that you must submit a separate Disclosure Form setting out the full ownership structure.
